About The PI Trainer

The course consists of six individual modules that break the information in The PI’s Guide into easily absorbed segments. Each module takes 20-30 minutes to complete. A certificate of completion is awarded to those who pass the post-course assessment, which may be submitted to the Association of Clinical Research Professionals (ACRP) for 3.0 self-reported, research-specific, continuing education units toward maintenance of their professional certifications.*

Each Learning module points the user to the relevant sections of The PI’s Guide to Conducting Clinical Research. We have provided The PI’s Guide for you in pdf form attached to this course.

**The PI Trainer End User Agreement**

You hereby agree that by registering for The PI Trainer: An Interactive Companion to The PI’s Guide to Conducting Clinical Research (“PI Trainer”) offered by CenterWatch, LLC, an affiliate of WCG Clinical, Inc., which has its principal offices at 212 Carnegie Center, Suite 301, Princeton, NJ 08540 (“CenterWatch”), and by using the CenterWatch Training Center website, you (“END USER”) agree to be bound by all of the terms and conditions set forth herein (“Agreement”), which may be updated from time to time without notice to you. Your use of the CenterWatch Training Center website is subject to your compliance with this Agreement, and when you access the CenterWatch Training Center website, you accept, without limitation or qualification, the terms of this Agreement as if you had signed it.

SERVICE. CenterWatch will provide access for one registration to a Learning Management System (LMS) for hosting the PI Trainer and a print copy of The PI’s Guide to Conducting Clinical Research (“PI Guide”) to be mailed to the address specified by you when you ordered.

END USER RESTRICTIONS. This Agreement allows for one END USER registration for The CenterWatch Training Center. Subject to END USER compliance with this Agreement, CenterWatch grants END USER a personal, limited, non-exclusive, non-transferable privilege to enter and use the PI Trainer. CenterWatch may revoke this privilege at any time for violation of this Agreement. END USER is forbidden from sharing his/her login credentials or transferring his/her registration to another person after s/he has begun training. If additional registrations are required, END USER will contact CenterWatch for pricing and access information. END USER shall protect the PI Trainer from disclosure, misappropriation, theft, or use contrary to the terms herein. END USER must be at least sixteen years of age to use the PI Trainer. Use of the PI Trainer is at END USER’s own risk. CenterWatch hosts the PI Trainer on a platform and takes reasonable efforts to maintain and host the site. However, CenterWatch makes no explicit representations or warranties as to the safety of End User’s use of the PI Trainer.

CenterWatch reserves the right, but has no obligation or liability for, monitoring any END USER use of the PI Trainer. CenterWatch also reserves the right to investigate and take appropriate legal action against anyone who, in our discretion, violates this “End User Restrictions” provision, including without limitation suspending or terminating the account of such violators, and reporting you to the law enforcement authorities.

END USER agrees to not use the PI Trainer to:

further or promote any criminal activity or enterprise;
impersonate any person or entity, or falsely state or otherwise misrepresent END USER affiliation with a person or entity for any purpose;
interfere with or disrupt the PI Trainer or servers or networks connected to the PI Trainer, or disobey any requirements, procedures, policies or regulations of networks connected to the PI Trainer;
violate any applicable local, state, national or international law, or any regulations having the force of law; or
obtain or attempt to access or otherwise obtain any materials or information through the PI Trainer using deceptive or fraudulent means.

If CenterWatch believes that END USER is in violation of the prohibitions of this Section, this Agreement shall terminate and expire immediately and further access to the PI Trainer will be denied. In addition, and without limiting any rights or remedies of CenterWatch, END USER shall not be entitled to any refund(s) upon such termination.

INTELLECTUAL PROPERTY. END USER acknowledges that the PI Trainer and PI Guide contain valuable intellectual property owned by, proprietary to, and copyrighted by CenterWatch, including, but not limited to, images, text, designs, graphics, trademarks, and service marks. END USER agrees that it will not (electronically or otherwise) use, modify, reproduce, distribute, sell, license, reverse engineer, decompile, copy, disseminate, otherwise exploit, or permit any copying or dissemination of any portion of the PI Trainer or PI Guide except as expressly permitted by this Agreement. END USER agrees that violating CenterWatch’s intellectual property rights in the PI Trainer and/or PI Guide may cause great harm to CenterWatch. END USER agrees to cooperate fully with CenterWatch to protect CenterWatch’s rights in the PI Trainer and PI Guide.

END USER may not use any content from the PI Trainer or PI Guide for any purpose other than accessing the training course for which they are designed and used. If END USER violates these terms, END USER may be prosecuted to the fullest extent permissible should CenterWatch choose to do so, including asking for financial penalties (damages) and/or an injunction forcing END USER to stop using CenterWatch intellectual property immediately. Except for the rights granted to you in these terms, CenterWatch reserves all other rights and grant no other rights or licenses, implied or otherwise.

CONFIDENTIALITY. END USER agrees to keep the terms of this Agreement confidential and not disclose the terms of this Agreement to any third party without the prior written consent of CenterWatch.

WARRANTIES; INDEMNIFICATION; LIMITATION OF LIABILITY; REMEDIES. CENTERWATCH DOES NOT GUARANTEE, REPRESENT OR WARRANT THAT ANY DATA, INFORMATION, PRODUCTS, OR SERVICES PROVIDED HEREUNDER WILL BE ERROR-FREE, FUNCTIONAL, CORRECT, COMPLETE, APPROPRIATE, OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF PI TRAINER AND PI GUIDE WILL PROVIDE SPECIFIC RESULTS. CENTERWATCH CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM OUR WEBSITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. CenterWatch warrants that it has the right to grant access to END USER hereunder and that the PI Trainer does not infringe upon or violate any patent, copyright, trade secret, or other proprietary right of any third party. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE HEREBY DISCLAIMED, SPECIFICALLY INCLUDING, BUT NOT LIMITED TO, THE EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM USAGE OF TRADE OR COURSE OF DEALING. By accessing PI Trainer, END USER assumes all the risk of END USER access and any subsequent actions END USER chooses to take as a result of the influence, information, or materials provided to END USER. END USER’S SOLE REMEDY AGAINST CENTERWATCH FOR DISSATISFACTION WITH THE PI TRAINER OR ANY CONTENT IS TO STOP USING THE PI TRAINER OR ANY SUCH CONTENT. The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

END USER agrees to indemnify and hold harmless CenterWatch, its officers, directors, shareholders, successors in interest, employees, agents, suppliers, and contractors from any demands, loss, liability, claims or expenses (including attorneys’ fees) due to or arising out of or in connection with END USER’s use of PI Trainer and PI Guide, including, but not limited to, as a result of any technological failures such as system failure(s).

CenterWatch reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the PI Trainer, or any portion of it, for any reason; (2) to modify or change the PI Trainer, or any portion of the PI Trainer, and any applicable policies or terms; and (3) to interrupt the operation of the PI Trainer and PI Guide, or any portion of the PI Trainer and PI Guide, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL CENTERWATCH BE LIABLE TO END USER FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THIS AGREEMENT, CENTERWATCH IS FOUND TO BE LIABLE TO END USER FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH END USER USE OF THE PI TRAINER AND PI GUIDE, CENTERWATCH’S LIABILITY SHALL IN NO EVENT EXCEED US$100.00. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE FOREGOING LIMITATION MAY NOT APPLY TO END USER.

TERMINATION. If at any time CenterWatch believes END USER has violated this Agreement, then CenterWatch may immediately terminate END USER access to and use of the PI Trainer in our sole discretion and without prior notice, and END USER shall not be entitled to any refund(s) upon such termination. It is within CenterWatch discretion to allow any user’s access of the PI Trainer, and CenterWatch may revoke this access at any time without notice, and if necessary, block END USER IP address from further visits to it. Further, we may terminate END USER access to the PI Trainer, for cause, which includes (but is not limited to) (1) a request by you (self-initiated account deletions), (2) discontinuance or material modification of the PI Trainer, or (3) unexpected technical issues or problems.

END USER agrees that any violation by END USER of this Agreement will constitute an unlawful and unfair business practice, and will cause irreparable harm to CenterWatch, for which monetary damages would be inadequate, and END USER consents to CenterWatch obtaining any injunctive or equitable relief that it deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies CenterWatch may have at law or in equity.

CHOICE OF LAW; JURISDICTION. This Agreement shall be governed by the laws of New York, without application of conflict of laws principles. The parties agree to the exclusive jurisdiction of the federal and state courts in New York for all disputes in connection with this Agreement.

SEVERABILITY. If any part of this Agreement is deemed unlawful and/or unenforceable, all other provisions contained herein will remain in full force and effect.
